Independent Contractor Agreement for Fundraising, Data Base Management, Voter Registration

This Agreement is made between Green Party of California ("GPCA") and Marnie Glickman.

I. Services to be performed

The Organizer agrees to perform the following services on behalf of the GPCA:

1-1 Major donor solicitations (FINANCE, 25 hours $1,000 for )

Details: Conduct phone, email and in-person solicitations with $250 plus donor prospects.

1-2 launch houseparty program $200 to design and (FINANCE, 5 hours)

Details: Design basic materials for GPCA fundraising houseparty program. Publish basic training materials and party planning suggestions. Train and advise houseparty hosts.

1-3 write and design one prospect direct mail package $200 to (FINANCE, 5 hours)

Details: Includes outer envelope, inner reply device and letter. Target 11,250 Green Party members using GPUS donor information, GPCA donor information, voter file database queries and socio-economic data. Does not include researching the best prices for printing and mailhouse vendors. Getting bids from vendors would take an additional 2 hours of research.

1-4 write and design one resolicitation letter $200 to (FINANCE, 5 hours)

Details: Includes outer envelope, inner reply device and letter. Target all Green Party donors using GPUS donor information, GPCA donor information, voter file database queries and socio-economic data. Does not include researching the best prices for printing and mailhouse vendors. Getting bids from vendors would take an additional 2 hours of research.

1-5 write and design one email solicitation and online campaign $200 to (FINANCE, 5 hours)

Details: Design email solicitation. When GPCA implements a email communications system that is connected to our CMS, design optimized donate page, other online promotional appeals and publish online fundraising content and materials on GPCA social networks.

1-6 managing telemarketing project $400 for (FINANCE, 10 hours)

Details: Request bids for telemarketing test project with company that could guarantee a no-financial risk contract test period. Recommend a telemarketing company to GPCA CC for approval. Write fundraising script for telemarketing company. Train telemarketing company by telephone, video conference call or in-person. Work with GPCA treasurer and telemarketing company to make sure that income is compliant with campaign finance law. Work with GPCA treasurer and telemarketing company to make sure that all income and expenditure is accounted for.

1-7 building GPCA supporter database in CRM $400 for (FINANCE, 10 hours)

Work with CRM vendor to install and build GPCA supporter database including volunteers, donors and prospects.

1-8 coordinating website upgrade and transition to CMS $400 for (FINANCE, 10 hours)

Details: Work with CMS vendor to design, install, build and launch GPCA website upgrade. Train volunteers how to use new CMS.

1-9 volunteer recruitment $400 for (CCWG, 10 hours)

Details: Recruit, train and supporter voter registration drive volunteers and phone canvass volunteers.

1-10 $400 for voter file database management (CCWG, 10 hours)

Details: Work with voter file database software to make sure our data is updated 4 times per year. Design useful volunteer phone canvasses and phone scripts. Track results of phone banks, congratulate volunteers who do a great job, and review reporting statistics for trends and insights.

1-11 $300 for tabling materials (GROW, 7.5 hours)

Details: Draft text and design various tabling materials, including fliers, signs and bookmarks. Circulate to messaging group for feedback. Recruit and coordinate volunteer graphic designers. Publish tabling materials online for easy home printing. Create and sell clearinghouse merchandise (like buttons and t-shirts). Brainstorm other props may be useful for tabling.


II. Payment

In consideration for the services to be performed by the Organizer, GPCA agrees to pay the Media Coordinator $300 per month. The Treasurer of the GPCA will make payment for services monthly.

III. Expenses

GPUS shall not be responsible for Contractor’s phone/fax distribution, travel and miscellaneous expenses related to work performed under this Agreement.

IV. Client Obligations

The Media Committee will supervise and direct the Press Secretary’s work as appropriate. A written performance review shall be conducted annually by the Media Committee. The Press Secretary shall submit an annual report to the Media Committee summarizing work performed under this agreement. A summary of the performance review shall be forwarded to the Coordinating Committee.

V. Term of Agreement

Term of service begins on May 1, 2011. This agreement shall become effective when signed by both parties and will terminate at the conclusion of the last day of the GPCA's 2011-2012 Fiscal Year.

VI. Terminating the Agreement

The GPCA or Marnie may terminate this Agreement at any time by giving 30 days written notice of termination. The Contractor shall be entitled to full payment for services performed prior to the date of termination.

VII. Independent Contractor Status

7-1 The Organizer is an independent contractor, not a GPCA employee. The Press Secretary and Green Focus Design Layout Manager and the GPCA agree to the following rights consistent with an independent Contractor relationship:

7-1.1 Contractor has the right to perform services for others during the term of this Agreement. The GPCA shall not require Contractor or Contractor’s employees or subcontractors to devote full time to performing the services required by this Agreement.

7-1.2 Contractor has the right to hire assistants as subcontractors, or to use employees to provide the services required by this Agreement with his own personal funds.

7-1.3 Neither Contractor nor Contractor’s employees or subcontractors are eligible to participate in any employee pension, health, vacation pay, sick pay or other fringe benefit plan of GPCA.

7-1.4 Neither Contractor nor Contractor’s employees or subcontractors shall receive any training from the GPCA in the skills necessary to perform the services required by this Agreement.

VIII. Local, State and Federal Taxes

8-1 Contractor shall pay all income taxes and FICA (Social Security and Medicare taxes) incurred while performing services under this Agreement. The GPCA will not:

8-1.1 Withhold FICA from Contractor’s payments or make FICA payments on Contractor’s behalf

8-1.2 Make state or federal unemployment compensation contributions on Contractor’s behalf, or

8-1.3 Withhold state or federal income tax from Contractor’s payments.

IX. Exclusive Agreement

This is the sole and entire Agreement between Contractor and the GPCA.

X. Applicable Law

The laws of the State of California will govern this Agreement.
